Nature of Service

Brawe Sounds is a feature of the Brawe platform intended for publication, discovery and promotion of musical content submitted by users themselves. The availability of music on the platform is exclusively for promotional purposes and visibility within the Brawe ecosystem. The publication of a track on the platform does not generate any automatic right to remuneration, royalties, revenue sharing, financial compensation or any other payment by Brawe.

Absence of Royalties

Brawe does not make payments of:

• Phonographic royalties
• Authorship royalties
• Related rights
• Public performance rights
• Digital distribution
• Streaming revenue
• Revenue share
• Advertising participation
• Subscription participation

The user acknowledges and agrees that the use of Brawe Sounds occurs exclusively for the purpose of promoting their musical work.

Not a Digital Distributor

Brawe Sounds does not act as:

• Record label
• Music publisher
• Digital distributor
• Music content aggregator

Music submitted will remain available exclusively within the Brawe ecosystem unless expressly stated otherwise.

Rights Responsibility

By submitting a track, the user declares and warrants that they hold the necessary rights over the work or have valid authorization from the rights holders. The user assumes full responsibility for any violations of copyright, related rights, trademarks or any other third-party rights.

Platform Usage License

By publishing a track, the user grants Brawe a worldwide, non-exclusive, free and revocable license to:

• Host
• Store
• Process
• Display
• Reproduce
• Promote

This license exists only to enable the normal operation of the platform.

Content Moderation

Brawe may remove music that:

• Infringes copyright
• Contains illegal content
• Contains hate speech
• Contains fraudulent content
• Violates platform policies

Removal may occur without prior notice.

No Visibility Guarantee

Brawe does not guarantee:

• Minimum number of plays
• Minimum number of listeners
• Reach
• Engagement
• Virality
• Audience growth

The visibility of each piece of content will depend on multiple factors related to platform user activity.

Future Monetization

Brawe may, in the future, implement monetization, distribution or remuneration programs for artists. If this occurs, such programs will be governed by their own specific terms. Participation in these programs will not be automatic.

Indemnification

User agrees to indemnify, defend and hold harmless Brawe, its affiliates, officers, employees and partners from any claims, losses, damages, costs or expenses (including reasonable attorneys' fees) arising out of: (a) violation of these Terms; (b) infringement of third-party rights, including copyright, trademark, privacy or image; (c) content uploaded by user; (d) misuse of the platform. Brawe reserves the right to assume exclusive defense of any matter subject to indemnification, in which case user shall fully cooperate.

Limitation of liability

To the maximum extent permitted by applicable law, Brawe shall not be liable for:

• Lost profits or expected revenue
• Loss of business opportunity
• Indirect, incidental or consequential damages
• Loss of data or content
• Temporary or permanent interruption of the platform
• Failures caused by third parties (CDN, hosting, providers)

Brawe's total liability under any circumstances is limited to the amount actually paid by user to Brawe in the 12 months prior to the event — being zero if no payment has been made.

Suspension and termination

Brawe may, at its sole discretion and without prior notice, suspend or terminate user's account, remove any content and/or block access to the platform in cases of:

• Violation of these Terms
• Submission of third-party content without authorization
• Attempt at fraud or metric manipulation
• Abusive, illegal conduct or conduct that puts platform security at risk
• Request from competent authorities

User may close their account at any time. Closing the account terminates the license granted to Brawe, but does not undo legitimate prior uses of songs already embedded in content published by other users.

Privacy and personal data

Personal data processing follows Brawe's Privacy Policy and complies with applicable data protection laws, including Brazil's LGPD (Law 13,709/2018) and the GDPR where applicable. By accepting these Terms, user authorizes the collection and processing of data strictly necessary for the operation of Brawe Sounds — including, but not limited to, registration data, IP, user agent, usage metrics and uploaded content. User may exercise their data subject rights at any time via official channels.

Changes to the Terms

Brawe may update these Terms at any time. Material changes will be communicated with reasonable advance notice. Continued use of the platform after the changes take effect implies acceptance of the new version. Should user disagree, they must discontinue use of the platform and may request removal of their content.

Governing law and venue

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the District of São Paulo/SP are elected as competent to settle any disputes arising from these Terms, with express waiver of any other, however privileged.
